TBOC: links and resources

The forms and information on this website are not a substitute for the advice of an attorney.

The Texas Business Organizations Code (TBOC), taking effect Jan. 1, 2006, reorganizes eleven business organizations statutes into one, revises terminology, alters state fees, and makes other changes.

The state fees under the TBOC are simpler, in some cases higher (forming a PA or LLC, for example) and in other cases lower (correcting or terminating an LP). (3 pages, 52.6 K)

To compare the old and new state fees for various filings for profit corporations, LLCs, PAs, and LPs, use the state's chart of business organization fees. (6 pages, 7.6 MB, pdf)

Lawyer's Aid has independently compiled an Unofficial Version of the Texas Business Organizations Code with the 2005 amendments that pertain to many sections. It's 442 pages (2.2 MB) in pdf: This is an unedited version and should be relied on for general information only and not in any specific legal situation.

Highlights of the TBOC changes are summarized in informative ads by Lawyer's Aid in the Texas Bar Journal:

The website of the State Bar's Business Law Section, the primary drafters of the TBOC, provides a Revisor's Report on Business Organizations Code — a section-by-section comparison of the new code with the prior law on which it is based (31 multi-page documents in pdf)
